Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of GeoSync, a mobile application developed and operated by Akhlak Hossain Jim ("Developer", "we", "us", or "our").

These Terms apply to all users including:

• Tenant Organizations: Businesses that subscribe to and deploy GeoSync for their team.
• Admins & Managers: Authorized representatives of tenant organizations who manage the platform.
• Employees: End users who use the app under direction from their employer organization.

2. Service Description

GeoSync is a B2B professional field team and employee management platform offering:

• Real-time GPS-based employee location tracking and fleet management
• Geographic territory definition, assignment, and management
• Task creation, dispatch, and lifecycle management
• CRM pipeline with lead management and client tracking
• Attendance and time tracking with break management
• Route history recording and playback
• Expense reporting and approval workflows
• Role-based access control (Employee, Manager, Admin, Super Admin)
• Analytics and performance dashboards
• Push notifications and follow-up reminders

GeoSync is currently in alpha/beta (version v0.0.2-alpha) and features, pricing, and availability may change. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time.

3. Eligibility

To use GeoSync, you must:

• Be at least 18 years of age
• Have legal capacity to enter into binding contracts
• Use the app in a legitimate commercial employment context
• Not be prohibited from using the service under applicable laws

GeoSync is intended for professional business use only. Personal use outside an organizational context is not a supported use case.

4. Accounts & Organizations

4.1 Organization Registration

The first user to register creates an organization and becomes the Super Admin. You are responsible for:

• Providing accurate, complete, and current organization information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account or organization
• Ensuring that employees added to your organization are made aware of the tracking features and consent to their use

4.2 Employee Accounts

Employees are added to organizations by Admins or Managers. By accepting an invitation to join a GeoSync organization, employees acknowledge that:

• Their work location and activity will be tracked and visible to their employer
• The employer (tenant organization) is responsible for obtaining required consents under local employment laws
• They agree to these Terms of Service individually

4.3 Account Security

You must notify us immediately of any unauthorized access to your account. We are not liable for losses from unauthorized access resulting from your failure to maintain account security.

5. Acceptable Use

You agree to use GeoSync only for lawful purposes and in accordance with these Terms. You must NOT:

• Use the app to track individuals without their knowledge or consent
• Use the app for surveillance outside of a legitimate employment relationship
• Attempt to reverse engineer, decompile, or extract source code from the app
• Use the app to transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to other users' data or other organizations' data
• Violate any applicable local, national, or international law or regulation
• Use the app to harass, stalk, or intimidate any individual
• Falsify attendance records, location data, or any other information within the app
• Use automated bots or scripts to interact with the app

6. Location Tracking Consent

GeoSync's core functionality requires access to device location. By using the app:

• You expressly consent to the collection and storage of your GPS location data as described in our Privacy Policy.
• You understand that background location tracking is used to support real-time team management features.
• You acknowledge that your location data will be visible to authorized personnel within your organization.

For Tenant Organizations: You are responsible for obtaining proper informed consent from your employees before deploying GeoSync in any tracking capacity. This may be required under local employment law and must be handled through proper employment agreements, policies, or consent forms at the organizational level.

7. Subscriptions & Billing

7.1 Plans

GeoSync offers tiered subscription plans:

• Basic (Free): Limited features for small teams (up to 5 members)
• Pro: Full features for growing teams (up to 25 members)
• Enterprise: Custom pricing for large organizations with unlimited members

7.2 Billing

• Subscription fees are billed to the tenant organization, not individual employees.
• All fees are non-refundable unless required by applicable law.
• We reserve the right to change pricing with 30 days' notice to active subscribers.

7.3 Free Trial

We may offer free trials for paid plans. At the end of a trial, continued use requires a paid subscription. Features may be limited or suspended if payment is not received.

8. Data Ownership

• Your Data: You retain ownership of all data you input into GeoSync (employee records, tasks, clients, territories, etc.).
• License to Us: You grant us a limited, non-exclusive license to process and store your data solely to provide the GeoSync service.
• Data Export: You may request an export of your organization's data at any time by contacting support.
• Data After Termination: Upon account termination, your data will be retained for 30 days (for recovery purposes) and then permanently deleted, unless longer retention is required by law.

9. Intellectual Property

GeoSync and all related content, features, functionality, design systems, and code are owned by Akhlak Hossain Jim and are protected by intellectual property laws.

• You are granted a limited, non-transferable license to use GeoSync for its intended purpose.
• You may not copy, modify, distribute, or create derivative works based on GeoSync.
• All feedback or suggestions you provide may be used by us to improve the service without any obligation to you.

10. Disclaimers

• We do not warrant that the service will be uninterrupted, error-free, or secure at all times.
• GPS accuracy is subject to device limitations and environmental factors; we do not guarantee precision of location data.
• We are not responsible for decisions made by employers based on data provided by GeoSync.
• Real-time data may be subject to latency or delays beyond our control.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall GeoSync or Akhlak Hossain Jim be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business, or goodwill
• Any damages arising from your use or inability to use the service
• Unauthorized access to or alteration of your data
• Employer decisions or actions based on GeoSync data

Our total liability to you in connection with GeoSync shall not exceed the amount paid by you (or your organization) to us in the twelve months preceding the claim.

12. Termination

Either party may terminate use of GeoSync at any time:

• By You: Uninstall the app, request account deletion, or cancel your subscription.
• By Us: We may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk — with or without notice depending on severity.
• Upon termination, your license to use GeoSync immediately ceases.
• Provisions of these Terms that by their nature should survive termination (intellectual property, disclaimers, limitation of liability) will survive.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from or related to these Terms or GeoSync shall be resolved through:

• Good faith negotiations between the parties
• Binding arbitration, if negotiations fail, in accordance with applicable arbitration rules

Nothing in these Terms limits your rights under applicable consumer protection laws in your jurisdiction.
